Edited by Stephan Bank, Martin Schaper and Benjamin Ullrich, the Beck'sches Venture Capital Handbuch is a new reference work on venture capital practice. It covers the VC lifecycle from incorporation to exit and answers the questions that arise in day-to-day practice, such as how liquidation preferences work at exit, what happens to ESOPs and VESOPs in a share-for-share exit, when venture debt is an alternative to equity, and how LP-led and GP-led secondaries work.
The aim was to cover the full breadth of modern VC practice in one volume, including topics that are rarely treated systematically from a legal perspective. The handbook draws on the experience of authors from many areas of VC practice.
"Venture capital today is about far more than company formation and financing rounds. With the Beck Venture Capital Handbook, our aim was therefore to provide, for the first time, a comprehensive account of the full spectrum of modern venture capital practice. In doing so, we placed particular emphasis on new developments and emerging issues that have so far received limited systematic legal analysis. We are particularly pleased to have brought together the experience and perspectives of numerous colleagues working across the many different areas of venture capital practice."
