Falk advises fund managers and sponsors on the structuring of venture capital and private equity funds, as well as other investment vehicles. His practice focuses on corporate and contractual matters, in particular the drafting and negotiation of fund documentation. He regularly supports ongoing fund-related matters including carried interest structures, co-investments, secondary transactions, and restructurings. In addition, Falk advises on venture capital transactions and general corporate law.
Education and Career
Falk studied law in Munich and Münster. Prior to his legal traineeship, he worked for several years at a large American law firm. His traineeship included stations at the German Federal Ministry of Finance and a renowned German private equity firm.

Falk's significant representations since joining YPOG include:
- Advising Armira on the structuring and formation of its latest private equity fundraising program, closing above hard cap with EUR 1 billion in total deployable capital (including co-investments)
- Advising Cherry Ventures on the structuring of its fifth fund generation, comprising Cherry Ventures Fund V and Cherry Ventures Select V, with a combined EUR 500 million raised
- Advising Speedinvest on the structuring and launch of its first and second continuation vehicles
- Advising La Famiglia on its partnership with General Catalyst — a cross-border transaction at the intersection of M&A, fund structuring, and regulatory matters
- Advising juna.ai on its $7.5 million US seed financing round led by Kleiner Perkins and Norrsken VC, covering all aspects of German corporate law
- Advising Xaver on one of the largest pre-seed financing rounds in Europe at the time
