Stefanie Nagel

Stefanie advises fund managers and investors in the field of alternative investments (private equity, venture capital, debt, real estate) on all matters of investment regulatory law. In addition, she assists financial institutions, securities institutions and payment institutions in licensing procedures and advises on all ongoing regulatory matters.

Also, Stefanie advises management teams and investors on the structuring of funds in venture capital and private equity. Her work is focused on corporate and contractual matters, in particular the preparation and negotiation of fund documentation.

Education and Career

Stefanie studied law in Munich. Subsequently, she worked as a research assistant at Freshfields Bruckhaus Deringer in Berlin. Her practical legal training at the Berlin Higher Regional Court included stints at Charité university medical center, Berlin, and at the Australian law firm Hall & Wilcox in Melbourne and Sydney. Before joining YPOG, she worked for SMP and as an associate with Hengeler Mueller in Berlin, where she focused on corporate law, M&A and financing.

  • Providing advice and support to German venture capital/private equity fund managers in connection with registration and authorisation proceedings
  • Providing advice and support to German venture capital/private equity fund managers to comply with the European sustainable finance disclosure regulation (SFDR) and/or taxonomy regulation

  • Headline Europe on structuring €320 million Europe focused early stage fund (regulatory)
  • VSquared Ventures on structuring €165 million early stage fund (regulatory)
  • Cherry Ventures on structuring €300 million early stage fund (regulatory)
  • DTCP on structuring $300 million closing of Growth Equity III fund (regulatory, ESG)
  • Planet A Ventures on the closing of its €165 million impact fund (regulatory, ESG)
  • World Fund on structuring of climate tech fund (corporate, regulatory, ESG)
