YPOG has advised the shareholders in Prior Labs on the intended sale of the company to SAP (NYSE: SAP). SAP intends to acquire the provider of tabular foundation models to build a leading frontier AI lab for structured enterprise data in Europe.  

Prior Labs will continue to operate as an independent entity, with SAP committing to invest more than €1 billion over the next four years to scale it into a leading frontier AI lab for the structured data that runs the world’s businesses. Terms of the deal were not disclosed. The transaction is still pending regulatory approval and is expected to be completed in the second or third quarter of 2026.

Based in Freiburg, Prior Labs is a pioneer in the field of tabular foundation models with its TabPFN  platform, a new category of AI models developed specifically for structured enterprise data. The TabPFN model series developed by Prior Labs, which was published in “Nature” in 2025, has set the state of the art on tabular benchmarks in numerous independent studies and has established tabular foundation models as a distinct frontier category of AI. The company is developing a widely used open-source solution for tabular AI and has built an international team of AI researchers and practitioners.
